2. Eligibility and Capacity

By accessing or using the Services, you represent and warrant that you are at least eighteen (18) years of age and have the legal authority and capacity to enter into binding contractual agreements under applicable law. If you are accessing the Services on behalf of a legal entity, you further represent and warrant that you are duly authorized to bind such entity to these Terms.

3. Access Restrictions

The Services may not be accessed, used, sold, or distributed in any jurisdiction or territory where such access, use, or distribution would be contrary to applicable law, regulation, or governmental policy, or where such access is subject to licensing or authorization requirements that Voltfox has not obtained. You are solely responsible for ensuring compliance with local laws and regulations in the jurisdiction from which you access the Services.

4. Description of Services

Voltfox provides a proprietary Software-as-a-Service (SaaS) platform designed to:

• Perform precise, granular, and hourly carbon emissions accounting;
• Align renewable energy procurement with actual consumption data;
• Provide region-specific and real-time emissions and grid data;
• Facilitate compliance with recognized sustainability frameworks and international standards, including but not limited to the GHG Protocol and the UN 24/7 Carbon-Free Energy initiative.

Voltfox reserves the right, in its sole discretion, to modify, enhance, suspend, or discontinue any aspect of the Services at any time without notice.

5. User Accounts and Security

1. Provide accurate, current, and complete information during registration and keep it updated.
2. Maintain confidentiality of your credentials and all activities under your account.
3. Notify Voltfox immediately of any unauthorized use or breach.
4. Voltfox is not liable for losses from unauthorized access due to your failure to safeguard login info.

6. Acceptable Use and Prohibited Conduct

You agree to use the Services in compliance with these Terms and all applicable laws. You shall not:

• Use the Services for unlawful, fraudulent, or malicious purposes;
• Copy, reproduce, distribute, or create derivative works without authorization;
• Attempt unauthorized access to any part of the Services or infrastructure;
• Upload or distribute viruses, malware, or harmful code;
• Disrupt the integrity or availability of the Services;
• Scrape or harvest data via bots without written consent;
• Post content that is defamatory, obscene, harassing, or otherwise objectionable;
• Misrepresent your identity or affiliation.

7. Subscriptions, Purchases, Fees, and Payments

1. Certain features may require subscription or fees.
2. Fees, payment terms, and billing cycles are disclosed before purchase.
3. You authorize Voltfox or processors to charge your payment method.
4. Non-payment may result in suspension or termination.
5. Fees exclude taxes; you’re responsible for applicable taxes.
6. All sales are final unless otherwise required by law or agreed in writing.

8. Intellectual Property Rights and User Content

1. All IP in the Services is owned by or licensed to Voltfox.
2. License: limited, non-exclusive, revocable, non-transferable, per these Terms.
3. You retain ownership of submitted content; you grant Voltfox a license to use it to provide and improve the Services.
4. You warrant you have rights to the content and it doesn’t infringe third-party rights.

9. Data Privacy and Usage

1. Voltfox processes data per its Privacy Policy.
2. Aggregated/anonymized data may be used for analytics and product development.
3. We implement reasonable measures to protect data but cannot guarantee absolute security.

10. Confidentiality

1. Non-public, confidential information exchanged remains confidential, except as required by law.
2. These obligations survive termination.

11. Electronic Communications

1. Ordinary email or unencrypted channels are not secure.
2. Do not send sensitive info via insecure channels.
3. Voltfox disclaims liability for damages from insecure communications.

12. Security, Viruses, and System Integrity

1. No warranty of uninterrupted, error-free, or malware-free operation.
2. You must protect your own systems.
3. Notify Voltfox of suspected breaches promptly.

13. Third-Party Services and Links

1. Services may include integrations or links to third-party sites.
2. Voltfox is not responsible for third-party availability or practices.
3. Your interactions with third parties are solely between you and them.

14. Disclaimers of Warranties

The Services and all associated content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

15. Limitation of Liability

1. Voltfox is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
2. Total liability shall not exceed the fees you paid in the preceding twelve (12) months.

16. Indemnification

You agree to indemnify, defend, and hold harmless Voltfox and its affiliates, directors, officers, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of law or third-party rights.

17. Severability

If any provision is held invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

18. Conflict with Additional Terms

Certain features or areas may be subject to additional terms. If there is a conflict, the additional terms govern to the extent of the conflict.

19. Compliance with Laws

Both parties agree to comply with all applicable laws and regulations, including those governing data protection, anti-bribery, labor, human rights, and environmental standards, and to ensure compliance by agents and subcontractors.

20. Termination and Suspension

1. Voltfox may suspend or terminate access immediately if you violate these Terms or engage in harmful conduct.
2. You may terminate your account by written notice.
3. Upon termination, your right to use the Services ceases; confidentiality, IP, indemnification, limitation of liability, and dispute resolution survive.

21. Governing Law and Dispute Resolution

1. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
2. Disputes shall be resolved exclusively by binding arbitration in Delaware, unless otherwise mandated by law.
3. Each party waives the right to a jury trial to the maximum extent permitted by law.

22. Modifications to Terms

Voltfox may amend these Terms at any time. Material changes will be communicated via the Services or email. Continued use constitutes acceptance of revised Terms.
